Terms & Conditions

1. Company Overview

This policy outlines the terms governing all services and client relationships delivered under the Joost Narraina personal brand.

All services are legally provided by Majortale Global FZ-LLC (“Majortale”, “we”, “our”), operating commercially under the name Joost Narraina.

Joost Narraina provides one-on-one strategic and creative support, including but not limited to:

• Campaign strategy and execution
• Employer branding support
• Content strategy, video, and photography production
• Personal branding and leadership visibility
• Strategic creative consulting

Services are delivered personally and directly.
Joost Narraina does not operate as a full-service agency and does not act as a full-time employee replacement.

2. Entity & Jurisdiction

From January 2025 onwards, all invoicing, payments, and contractual relationships are handled exclusively by:

All services, transactions, and disputes are governed by UAE law and fall under the exclusive jurisdiction of the courts of Ras Al Khaimah.

By engaging services, the Client explicitly acknowledges that they are entering into a contractual relationship with a UAE-based company.

3. Payment & Invoicing

All services are invoiced by Majortale Global FZ-LLC.

• Currency: EUR
• VAT: Invoices are issued without VAT, in accordance with UAE regulations
• Payment term: 30 calendar days from invoice date, unless otherwise agreed in writing
• All payments are non-refundable

International Payment Costs

All bank charges, transfer fees, intermediary fees, or international transaction costs related to payments made to the United Arab Emirates are entirely borne by the Client.

Majortale Global FZ-LLC must receive the full invoiced amount net of all fees.

3a. Late Payment Enforcement

Late payments may result in:

• Administrative reminder fee of €50
• Late payment interest of up to 25% per month on outstanding balances
• Immediate suspension of services
• Temporary revocation of usage rights for delivered materials until payment is received
• Recovery of legal and collection costs if enforcement becomes necessary

4. Engagement Terms

Majortale operates as a boutique setup to ensure quality and personal involvement.

Unless agreed otherwise:

• Recurring collaborations have a minimum term of three (3) months
• One-off projects are defined explicitly in a proposal or SOW
• All payments remain due regardless of Client availability or internal delays

Cancellation

• Quarterly engagements: 1 month written notice
• Annual engagements: 3 months written notice

Cancellations must be sent to joost@majortale.com and confirmed in writing.
Verbal or informal notices are not valid.

4a. Expiration of Unused Work

• Work delivered but not approved or published within 90 days is considered final
• Unused scope not requested within the contract period expires and cannot be claimed retroactively

4b. Project Completion Timelines

Unless otherwise agreed:

• Strategic and consulting projects must be completed within 3 months of the start date
• Client delays extend timelines without penalty to Majortale
• Prolonged delays may require rescheduling fees or a new agreement

5. Scope of Work & Deliverables

All deliverables, timelines, and revision limits are defined in a separate proposal or SOW.

Changes to scope require written approval and may incur additional fees.

6. Ownership & Intellectual Property

All materials, including strategy documents, copy, visuals, photography, video, and creative assets, remain the intellectual property of Majortale Global FZ-LLC until full payment is received.

Upon full payment:

• The Client receives a non-exclusive license for business and marketing use
• Majortale may showcase the work for portfolio and case study purposes unless restricted in writing

All proprietary frameworks, methodologies, and processes remain the exclusive property of Majortale.

7. Client Approval & Liability

Approval may be:

• Explicit (written confirmation), or
• Implicit (use without objection within 7 days)

Once approved or used, Majortale is not liable for errors, omissions, reputational impact, or business outcomes.

No performance guarantees are provided.

8. Limitation of Liability

Majortale’s total liability is strictly limited to the fees paid for the specific services concerned.

Indirect or consequential damages are excluded.

9. Confidentiality

All shared information, materials, and communications are treated as confidential and will not be disclosed without consent, except where required by law.

10. Privacy & Data Handling

Only necessary data is collected to deliver services.

Data is handled in accordance with applicable data protection laws, including GDPR where relevant.
Clients may request access or deletion via joost@majortale.com.

11. Creative Process & Revisions

By engaging services, Clients acknowledge and trust Majortale’s professional judgment.

Revisions beyond the agreed scope may incur additional costs.

12. Third-Party Tools

Majortale may use third-party platforms and tools.
No liability is accepted for issues caused by external providers.

13. Client Responsibilities

Clients agree to:

• Provide timely feedback and approvals
• Supply accurate information and materials
• Comply with platform terms (e.g. LinkedIn)

Failure to do so may result in delays, additional fees, or suspension of services.

14. Termination

Either party may terminate with written notice in case of:

• Material breach not remedied within 15 days
• Non-payment
• Breach of confidentiality

Payment obligations for completed work remain enforceable.

15. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including platform outages, regulatory changes, or natural events.

16. Dispute Resolution

Disputes will be resolved through:

1. Direct negotiation
2. Mediation
3. Legal action under UAE law in Ras Al Khaimah

18. Entire Agreement

These Terms constitute the complete agreement between the Client and Majortale Global FZ-LLC, superseding all prior agreements.
